This document lays out the disclaimers that apply to the access and use of the Website “www.tailwindfin.com” (hereinafter referred to as “Website”), Mobile Application “Tailwind”, (hereinafter referred to as “App”), and any other subdomain or platform which is owned, developed, managed or operated by Tailwind Financial Services Private Limited, (hereinafter referred to as “Tailwind”), a company incorporated under the laws of India and registered under the Companies Act, 2013. The Website, App and the other aforesaid subdomain or platform shall be collectively referred to as “Tailwind Platform”. The words, “You”, “Your” and “User” refer to the person(s) who use and avail the Services and Products through Tailwind Website / App / Platform and shall include both singular and plural.
In terms of Information Technology Act, 2000, this document is an electronic record. Being generated by a computer system, it does not require any physical or digital signatures. Your acceptance to the terms and conditions shall be considered as your consent to use the App, the Website, platform, the services and products (collectively referred to herein as “Services“) provided by Tailwind in accordance with the terms and conditions laid down by Tailwind
Liability of Our Services
In no event, Tailwind or its contractors, agents, licensors, directors, employees, associates, partners or suppliers will be liable to You for any special, indirect, incidental, consequential, punitive, reliance, or exemplary damages (including without limitation lost business opportunities, losses in investment products, lost revenues, or loss of anticipated profits or any other pecuniary or non-pecuniary loss or damage of any nature whatsoever) howsoever arising.
In no event, Tailwind, directors, employees, agents will be liable to You or any third party for any damages, liabilities, losses, and causes of action arising out of or relating to: (i) this Agreement; (ii) use of or access to the App and / or the Website or any reference Site / App / Platform / Service; or (iii) Your use or inability to use the Services provided by Tailwind (including any and all materials) or any reference Sites / App / Platform / Service; or (iv) any other interactions with Tailwind, or (v) any action caused by AMC or RTA or any other third party (vi) default by third party for the other services provided through the platform, however caused and whether arising in contract, tort including negligence, warranty or otherwise, beyond or in excess of Rs.500, or the amount required as per Regulatory guidelines, whichever is lesser.
You acknowledge and agree that Tailwind has offered its Services, set its prices, and entered into this Agreement in reliance upon the limitations of liability set forth herein, that the limitations of liability set forth herein reflect a reasonable and fair allocation of risk between You and Tailwind, and that the limitations of liability set forth herein form an essential basis of the bargain between You and Tailwind. Tailwind would not be able to provide the Services to you on an economically reasonable basis without these limitations. In all cases, Tailwind and its affiliates, employees & representatives, contractors, agents, licensors, directors, associates partners, suppliers and distributors, will not be liable for any loss or damage that is not reasonably foreseeable or beyond control or management of Tailwind or within control or management of external partners or third party service providers.
As part of independent Corporate treasury operations, Tailwind Financial Services Private Limited may invest or be invested in Mutual Fund schemes which may form a part of the mutual funds listed on Tailwind.
User Data
Our automated systems may collect and analyze data about your browsing patterns or investment choices on Tailwind to provide you personally relevant product features, such as customized search results, tailored messages, product features and advertising and this analysis occurs as the content about your usage is collected in our systems. Tailwind makes use of this data to personalise and customise your experience on best efforts basis and urges users to make your own investment decisions by studying and understanding the investment products. Upon receipt of the recommendations, you may decide whether to disregard it (in whole or in part) or to act upon it (in whole or in part). All investment decisions shall be made at your sole discretion. You are free to choose execution of Mutual Funds you want to invest in, irrespective of whether you have obtained recommendation from Tailwind or not. You are free to use Tailwind platform or any other platform at your free will to make investment when you have received recommendation from Tailwind. Mere view of certain Mutual Funds information on the App or Website does not amount to advisory. While providing recommendation, Tailwind has not undertaken any regulatory, legal, tax or accounting analysis relating to the suitability of the products invested by you. You should seek appropriate professional advice including tax advice before dealing with any realised or unrealised gain / loss reflecting in the investments, portfolio or statement.
Contingency Process
Certain services, such as Account Information and Maintenance services are dependent on a secure and continuous connection to external providers. Tailwind makes no warranties whatsoever that such connection will always be available or that there will be no errors or downtime as the connection is provided by third parties over the actions of whom Tailwind may have no control. Tailwind will strive to provide an alternate measure but reserves the right to suspend these services if in its opinion security of the site or of the data could be compromised.
Usage of External Providers and their Disclaimers
Many of our services display some content like mutual funds data, external ratings, research, reports and other relevant data, information or elements that are externally sourced by Tailwind. Some of this data may be displayed as it is or some of them may be derived or processed to display data / information that is based on such external data or presented in a format that is largely suited to Tailwind’s guidelines, standards and customised to its user experience. This entity providing such content is solely responsible for the accuracy of such data. We may review content to determine whether it is illegal or violates our policies, and we may remove or refuse to display content that we reasonably believe violates our policies or the law. But that does not necessarily mean that we review all content, so user should analyse and use this data as per his / her discretion. Display of such data on Tailwind’s App or Website should not be considered as an investment advice.

Payment Gateway
In using the Bill Payment Service, the user agree to:

Your Payment / Payment Instruction(s) will be effected only after proper authentication in accordance with the prescribed procedure of Payment Gateway. Payment Gateway will start the processing of Your Payment Instruction(s) on the basis of the Payment Data submitted by You.
Your submission of a Payment Instruction(s) from time to time shall constitute an irrevocable and unconditional authority for debiting the Payment Account(s) and making the payment . Your Payment Instruction(s) will be effected only after proper authentication in accordance with the prescribed procedure depending upon the Payment Account used by you.

Onus of providing user information
The user understands and agrees that all communication will be shared by Tailwind to his / her email id and mobile number updated under communication details as a part of user profile with Tailwind and this may be different from the user’s email id and mobile number registered with RTAs . In case of any change in his / her email id and / or mobile number at which communication needs to be shared, he / she shall make the necessary changes mandatorily in his / her record with Tailwind. The user confirms that the information / details provided by him / her is true, accurate, correct and complete on Tailwind. Tailwind will share communication with the email ID / Phone number available under Communication details in Tailwind only.

Search & Discovery
Search
Tailwind does not limit, favour or restrict any of the schemes available on Tailwind platform while performing search, filter or sort options. The order of search results is not indicative of performance or recommendation. It is solely up to the user to decide to select or reject any scheme. Based on the internal ranking algorithm, Tailwind shows most relevant results based on the user’s search query. The algorithm might be updated from time to time to improve user search experience or customized to meet user’s preferences based on his browsing or investment experience.
Return comparison with different asset classes
Tailwind has return comparison as a feature inside the product against fixed deposits, gold, regular mutual fund, Savings Bank Account and other asset classes. Estimation on return is indicative and based on average historical return of the assets and should not be considered as a promise, guarantee or a forecast. No comparison shall be construed as Tailwind’s opinion to invest or not to invest.
Security and volatility in prices of the mutual funds shown can differ with the asset compared with. Estimation is indicative and based on average historical return of the assets.
Bespoke Investment Manager
Bespoke Investment Manager as shown on Tailwind website / app is a tool for users to define their goals and objectives. Users understands that the result of the Goal or Objective Calculator will be prepared based on the information presented by the user to Tailwind. Calculators provide results based on the information provided by the user along with certain predefined attributes provided by 3rd party vendors. User also acknowledges that the results are entirely based on the details / information provided by the user . Tailwind displays recommended schemes based on various 3rd party ratings and scheme attributes similar to user risk profile. Tailwind makes no guarantees nor does it claim accuracy of these calculators or scheme recommendations. Bespoke Investment Manager is an attempt of Tailwind to provide investment insights in a particular way, users should do their own research and be cautious about any and all Mutual Fund recommendations and should make final judgement according to the user’s personal needs, financial situation, or any other parameters. In addition, users are advised that past Mutual Fund scheme performance is no guarantee of future performance. No recommendation or information, whether oral or written, obtained by user through the Tailwind App / Web will constitute or create any representation or warranty on future performance and shall not be considered as an invitation or persuasion to invest or sell. Tailwind may choose to modify its calculators from time to time without prior notice.
Targeted Solutions
Solutions as shown on Tailwind website / app is only a collection of schemes based on similar attributes. The decision to invest is solely on the user. KYC / Investment Readiness
User understands that opening an account is subjected to correct, complete and accurate information provided for KYC verification as per the regulations applicable. Tailwind will collect all necessary information from the user required for KYC verification and investment readiness. During the process of investment, such KYC information will be sent to KRA and / or CERSAI. Tailwind will not be responsible for any delay in processing the KYC request from the 3rd party agencies. Tailwind also has no control on acceptance or rejection or timelines for update of your KYC information.
User agrees to provide the correct documentation and information as listed in the App or Website for the purpose of KYC and/or onboarding process. User understands and agrees that failure to provide required documentation and information may result in rejection of KYC by Tailwind or KRA or CERSAI or AMC / RTA. The user agrees that Tailwind has every right to reject the KYC application, if there is any erroneous, incomplete or misleading information provided by the user or for any other reason whatsoever with / without assigning any reason or if KYC documents submitted do not comply with the KYC norms of SEBI as per regulations. Tailwind or AMC / RTA can seek additional details for complete due diligence of the user if required as per regulations or if requested by CERSAI / KRA / AMC / RTA / UIDAI or any such regulated or governing agency.
PAN Card Check
User herewith agrees to provide his / her valid PAN Card details and understands that opening an account is subjected to correct, complete and accurate PAN information provided. PAN check would be done using the 3rd Party’s PAN database. Tailwind won’t be responsible for any PAN rejections due to the PAN unavailability or status of PAN in the 3rd Party database.
IPV / Photo
Tailwind will use the photo and video taken from the user to do the in person verification required for KYC verification as mandated by regulations. User agrees to provide the correct documentation and information to Tailwind for the purpose of In Person Verification. User understands and agrees that failure to provide required information for IPV or correct information shall result in rejection of KYC by Tailwind.
Personal Info
Personal information provided by users will be used by Tailwind for opening the user’s account on Tailwind, processing user’s KYC and for making the user investment ready (Account opening Form, Nominations, Declarations and FATCA) and will be shared with other partners like BSE Star MF, AMCs and RTAs as per the regulations. Users is responsible for providing correct personal information which should match with the supporting documents or information provided for verification. User agrees that the name in the account will be the user name as per his / her name mentioned on PAN Card.
Bank Account Verification
Tailwind validates a user’s Bank Account(s) by validating the Bank Account Holder Name against the user’s name as per his or her KYC records. This may be done based on automated technology integration with user’s bank or via manual check of the corresponding details (Account Holder Name / Account Number) on a Cancelled Cheque / Account Statement / Passbook / Bank Letter etc. Tailwind takes no liability of any modification in Bank Account ownership details post validation, unless specified by user and it will be the responsibility of user to keep the bank account details updated.
Aadhaar Number
Tailwind will use the services of UIDAI to facilitate KYC of the user as per the prevailing regulations. All attempts will be made by Tailwind to provide reliable, comprehensive, accurate information shared by UIDAI on basis of the integration and the usage of UIDAI services will be governed by UIDAI terms and conditions. In case of any ambiguity or doubts, users are advised to verify / check with the Department(s) and / or other source(s) including regulations from respective regulators or governing authorities or directions from industry bodies like AMFI, or processes as defined by AMCs, RTAs or other entities, and / or to obtain appropriate professional advice.
FATCA Declarations
FATCA declarations are mandatory to start investments. Providing the correct FATCA declaration is sole responsibility of the user and Tailwind will not be responsible for any actions taken by any authority in case of wrong declarations done.
Upload Documents
Documents uploaded by users will be used by Tailwind for opening the user’s account on Tailwind, processing user’s KYC and for making the user investment ready and will be shared with other partners like BSE Star MF, AMCs and RTAs as per the requirements. Users are responsible for uploading correct documents which should match with the information provided for verification. User understands and agrees that failure to upload the required information or correct information shall result in rejection of KYC.
Account Opening Forms
Account opening form will be generated by Tailwind based on the information filled by user for KYC and investment readiness and same would be forwarded to the BSE Star MF and RTAs in their required format as per the prevailing regulations and agreements with AMC. While Tailwind makes best effort to collect and represent your information, it is not responsible or has any control for any rejections made by BSE Star MF or AMCs or RTAs or any KYC bodies on basis of information shared and submitted by you.
Communication Details
Tailwind will send the communication details provided by the user to the AMCs / RTAs. AMC / RTA will use the same for transaction related communication. User is responsible for providing correct email address and phone number so that he / she can receive the communication from RTA and AMCs. Providing the correct information is sole responsibility of the user and Tailwind will not be responsible for non-receipt of communication due to wrong communication details. While Tailwind makes best effort to collect and represent your information, it is not responsible or has any control for any rejections made by AMCs or RTAs on basis of information shared and submitted by you.
Nominations
Nominees declared on by the user on Tailwind will be mapped to all folios created by the user across all AMCs that user has invested through Tailwind unless changed / modified by the user on Tailwind directly to the AMC or RTA etc. While Tailwind makes best effort to collect and represent your information, it is not responsible or has any control for any rejections made by AMCs or RTAs on basis of information shared and submitted by you.
Portfolio
List of Investments
Tailwind segregates the portfolio based on the user’s selection at the time of investment. User invests on Tailwind based on various options in Bespoke Portfolio Manager, Targeted Solutions and Build Your Own Portfolio, based on these selections investments are segregated for ease of viewing. All the information segregated is solely meant for ease of viewing and shall not be considered as an insight or recommendation by Tailwind. Tailwind in no event will be held responsible for the accuracy and the relevancy of the holdings presented in the list of investments. No recommendation or information, whether oral or written, obtained by user through the Tailwind App / Web will constitute or create any representation or warranty on future performance and shall not be considered as an invitation or persuasion to invest or sell.
Statements
All the information contained in the statement(s) is solely meant for information purposes for the use of the recipient. It shall not be considered as an invitation or persuasion to invest or sell. The recipient alone shall be fully responsible and liable for any decision taken on the basis of these statement(s).
The statement(s) is prepared on the basis of information received from sources / vendors which may include AMCs, RTAs, or any third party service providers other than Tailwind and Tailwind has not independently verified the said information. Transaction History
Tailwind may provide history of transactions (investments, redemptions, subscription and others) that were done by a user in transaction history section. Details of transactions may change from time to time. Success or Failure of these transactions depends on 3rd party service providers like payments partners, RTAs processing investments or redemptions acting on behalf of AMCs or any such other partners and Tailwind just acts as an intermediary in such cases. Tailwind in no event will be held responsible for the accuracy and the relevancy of the transactions presented in the list of transaction history.
Risk Manager / Profiling
The user understands that the Risk Profile of the user will be prepared based on the information presented by the user to Tailwind. User also acknowledges that his or her understanding of assessing risk and suitability is in line with the details / information provided by the user and represented by Tailwind. The user is aware, acknowledges and understands that if he / she provides inaccurate and / or incomplete information, and / or chooses not to disclose certain information, such action will adversely affect the results of the risk assessment. Further, the user will not be bound to act on the risk profile created by Tailwind. The User may use his / her own discretion in making any investment.
Payments
Payments
Tailwind uses third party payment gateway for facilitating transfer of money from User’s Bank Account(s) to AMCs. Tailwind will have no role in failed, delayed credit or pending transactions and fraudulent use of card / net banking / payment in any manner. Users are advised to use their own Net Banking, UPI, Mandates only for making Investments / Payments / Transactions. Users will be solely responsible for using Net Banking and other modes for payments on Tailwind and Tailwind may use third party services or other service providers to collect user payments. Any fraudulent transaction / attempt will attract action as per service rules and relevant section of Indian Penal Code (IPC). Users providing improper details will be forfeited from usage of application. Transactions once completed cannot be cancelled. User should not use bank account of someone else to make the payment or investments for Mutual Funds and such transactions are liable to be rejected.
Net Banking
Users are advised to use their own Net Banking Account for Mutual Fund Investments or making any Payments. Tailwind will have no role in failed or pending transactions and fraudulent use of Net banking in any manner. Any fraudulent transaction / attempt will attract action as per service rules and relevant section of Indian Penal Code (IPC). Users providing improper details will be forfeited from usage of application. For a failed transaction, user may be charged by his / her bank and Tailwind is not responsible for any such charges. Payment Failures
Tailwind will have no role in failed / pending transactions and fraudulent use of card / net banking in any manner. Users are advised to use their own Net Banking, UPI, Mandates only for Mutual Fund Investments. Any fraudulent transaction / attempt will attract action as per service rules and relevant section of Indian Penal Code (IPC). Users providing improper details will be forfeited from usage of application. For a failed transaction, user may be charged by his / her bank.
Mandates
Bank Mandates registered on Tailwind will be for verified Bank Accounts only. Tailwind takes no responsibility of any failed or pending transactions resulting from previously approved Mandates. For a failed or pending transaction, user may be charged by his / her bank and Tailwind is not responsible for any such charges. Users are responsible for keeping the mandates updated for closed account or any modifications in account details. By proceeding with this payment mode, user abides to the Disclaimers and T&Cs of third party Service Providers as well.
Settlements
The settlement to the respective bank account(s) of the AMCs is done by the Payment Gateway partner and will be done on a best effort basis by the Payment Gateway partner as per their timelines. The applicable NAV will be based on realisation of funds by the AMC and the business policy at the corresponding RTA and the payment gateway partner.
Transactions
Financial Transactions
Tailwind will send the request for the transaction to the RTA (acting behalf of respective AMCs) on a best effort basis. The processing of the request will be handled as per the existing business rules and cut off times at the RTA. In case of failures of any system at Tailwind, Tailwind will try to process the same at the earliest but makes no guarantees. In case of failures of any system at the RTA / AMC / Payment Gateway Provider, Tailwind and its users will rely on the fallback provided by the RTA / AMC / Payment Gateway Provider. This should be read in conjunction with payment settlements. User agrees that Tailwind acts as an intermediary between him / her and the AMC for purpose of facilitating Financial Transactions. Tailwind is limited by the capabilities and timelines provided by AMCs / RTAs / Payment Service Providers in such financial transactions.
Non-Financial Transactions
Tailwind will send the request for the transaction to the RTA (acting behalf of respective AMCs) on a best effort basis. The processing of the request will be handled as per the existing business rules at the RTA. In case of failures of any system at Tailwind, Tailwind will try to process the same at the earliest but makes no guarantees. In case of failures of any system at the RTA, Tailwind and it’s users will rely on the fallback provided by the RTA. User agrees that Tailwind acts as an intermediary between him / her and the AMC for purpose of facilitating Non-Financial Transactions. Tailwind is limited by the capabilities and timelines provided by AMCs / RTAs in such non-financial transactions.
RTA
Tailwind’ Payment Gateway Partner will share data for each transaction in the format mutually decided with each RTA (acting on behalf of respective AMCs) and will be processed at the RTA as per the existing business rules. Tailwind will receive confirmation of the status of each transaction sent to the RTA from the RTA in a format mutually decided with the RTA and AMC. Tailwind has no control over transaction processing time and business logic.
The user understands that Tailwind is only acting as a platform. User enters into bilateral relationship with AMC / Mutual fund when he places and orders with the relevant AMC, or any entity acting as a collection agent on its behalf.
DND Registrations and Communication with Users
The user understands that if his / her mobile number is registered in the Do Not Disturb (DND) list of TRAI, he / she may not receive SMS from Tailwind. He / she shall take steps to deregister from the DND list and shall not hold Tailwind liable for non-receipt of SMS in the interim period. The user agrees to be reached out to by representatives of Tailwind or any third party authorised by Tailwind, via phone / email / sms with reference to the services offered by Tailwind.
